The following is an excerpt from an agency contract advice we wrote to a forwarder.“We downloaded a copy of XXXXX company’s STC from its website. We find that some terms are unreasonable and unfavourable to you; in particular, the following:Clause 6(D): ‘The Goods remain at the risk of the Customer during the Services… the Company will have no liability… unless such loss or damage is solely attributable to negligence by the Company.’Accordingly, you may not be able to claim against XXXX Cargo for cargo loss/damage if such is caused by its employee’s, agent’s or subcontractor’s mistake or negligence; it may be deemed as your waiving your right of recourse against XXXX, which is a breach of your transport liability insurance, and your insurer YYYY would be unable to cover your liability arising therefrom.”There are many more clauses in that agency agreement that we have helped the forwarder identify potential risks that could easily slip the attention of busy forwarders if its insurance provider does not provide such assistance.Thereafter, we guided the forwarder either to negotiate with its counterpart further for a fairer contract, or we would see if an insurance solution is available to plug the hole.SMIC’s role is to identify risks, offer prevention and risk transfer ideas.
